Agrinofy is a comprehensive agri-tech ecosystem operating under two legal entities:

• Agrinofy Ltd. — incorporated in Bangladesh, headquartered at Alir Ba Bari, Purbo Gatiadanga, Satkania, Chattogram, Bangladesh.
• Agrinofy LLC — incorporated in Wyoming, United States of America, managing international operations.

Agrinofy drives innovation across the agricultural value chain — from Soil to Shelf — through Smart Agri-Solutions, Global Import-Export, and Advanced Food Processing.

2 Acceptance of Terms

By accessing agrinofy.com or any of our sub-brand websites, creating an account, placing an order, subscribing to our newsletter, or otherwise engaging with our services, you confirm that:

• You are at least 18 years of age or have parental/guardian consent.
• You have the legal capacity to enter into a binding agreement.
• You have read, understood, and agree to these Terms & Conditions in full.
• You agree to our Privacy Policy, which is incorporated into these Terms by reference.

3 Our Ecosystem & Services

Agrinofy operates the following platforms, all governed by these Terms unless a platform-specific agreement overrides them:

4 User Accounts

4.1 Account Registration

Some of our services require you to create an account. When registering, you agree to:

• Maintain and promptly update your account information.

4.2 Account Responsibility

You are fully responsible for all activities conducted under your account. Agrinofy is not liable for any loss arising from unauthorized use of your account due to your failure to keep your credentials secure.

4.3 Account Termination

We reserve the right to suspend or permanently terminate your account if you violate these Terms, engage in fraudulent activity, or abuse our services. You may request account deletion at any time by contacting info@agrinofy.com.

5 Products & Orders

5.1 Product Information

We make every effort to ensure product descriptions, images, and specifications are accurate. However, we do not warrant that product descriptions are entirely error-free. Agricultural products, including seeds, may vary slightly due to seasonal and natural variation.

5.2 Order Acceptance

Placing an order on our platform constitutes an offer to purchase. Your order is accepted only when we send you a written order confirmation via email. We reserve the right to refuse or cancel any order at our sole discretion, including in cases of:

• Product unavailability or stock errors
• Incorrect pricing due to technical error
• Suspected fraudulent or unauthorized transactions
• Inability to deliver to your location

5.4 Product Availability

All products are subject to availability. Seasonal products, particularly seeds, may have limited availability windows. We will notify you promptly if a product you ordered becomes unavailable after order placement.

6 Payments & Pricing

6.1 Pricing

All prices displayed on our platforms are in Bangladeshi Taka (BDT) unless otherwise stated for international orders. Prices are inclusive of applicable VAT/taxes unless explicitly stated otherwise. We reserve the right to change prices at any time without prior notice — however, orders already confirmed will be honored at the price at the time of confirmation.

6.2 Payment Methods

We accept the following payment methods:

• Mobile banking: bKash, Nagad, Rocket
• Bank transfer (for bulk/B2B orders)
• Online payment gateways as available on our platforms
• Cash on delivery (where applicable and available)
• International payments via Agrinofy LLC (for global orders)

6.3 Payment Security

All online payments are processed through secure, encrypted payment gateways. Agrinofy does not store full payment card details on our servers. Payment information is handled by PCI-DSS compliant processors.

6.4 Failed or Disputed Payments

If a payment fails or is disputed, we reserve the right to suspend the associated order until the matter is resolved. For payment disputes, contact us at info@agrinofy.com within 7 days of the transaction.

7 Shipping & Delivery

Delivery times are estimates only and may be affected by courier delays, natural disasters, strikes, public holidays, or other circumstances beyond our control. Agrinofy is not liable for delivery delays caused by third-party logistics providers.

7.1 Delivery Risk

Risk of loss and title for products passes to you upon successful delivery to the address provided at checkout. Please ensure your delivery address is accurate — Agrinofy is not responsible for failed deliveries due to incorrect addresses.

7.2 International Shipments

For international orders via Agrinofy Exim or Agrinofy LLC, the buyer is responsible for any import duties, taxes, customs clearance fees, and compliance with their country’s agricultural import regulations.

8 Returns & Refunds

8.1 Eligibility for Returns

You may request a return or refund under the following conditions:

• You received a wrong product — report within 48 hours of delivery
• Product arrived damaged or defective — report within 48 hours with photo evidence
• Product is significantly different from the description — report within 7 days

8.2 Non-Returnable Items

8.4 Order Cancellation

Orders may be cancelled within 2 hours of placement at no charge. After 2 hours, cancellation is subject to order status — orders already dispatched cannot be cancelled.

9 Musharaka Fund — Investment Terms

9.1 Nature of Investment

The Musharaka Fund is structured as a partnership investment where investors and Agrinofy share both profits and losses proportionate to their capital contribution. This is not a fixed-return or interest-bearing instrument.

9.2 Investor Eligibility

• Must be 18 years or older
• Must provide valid identity verification documents
• Must acknowledge and accept the profit-and-loss sharing nature of the investment
• Must comply with applicable financial regulations of their home country

9.3 Risk Disclosure

Agricultural investments carry inherent risks including but not limited to: crop failure, weather events, market price fluctuations, supply chain disruptions, and regulatory changes. Past performance does not guarantee future returns. Agrinofy does not guarantee any minimum return on investment.

9.4 Fund Management

Agrinofy Ltd. manages the fund operations. Detailed fund terms, profit distribution schedules, and reporting mechanisms are provided in the separate Musharaka Fund Agreement issued to each investor upon onboarding at fund.agrinofy.com.

10 Intellectual Property

All content on agrinofy.com and our sub-brand platforms — including but not limited to the Agrinofy logo, brand name, sub-brand names (BeejGhor, Farmsfy, CharaGhor, Rawdatul Ard, etc.), website design, text, images, videos, graphics, software, and data — is the exclusive intellectual property of Agrinofy Ltd. and is protected under applicable copyright, trademark, and intellectual property laws.

10.1 Permitted Use

You may access and use our content solely for personal, non-commercial purposes. You may share our blog posts and publicly available content with proper attribution to Agrinofy.

10.2 Prohibited Use

• Reproducing, copying, or distributing our content for commercial purposes without written permission
• Using the Agrinofy name, logo, or sub-brand identities without authorization
• Scraping, data-mining, or automated extraction of content from our platforms
• Creating derivative works based on our proprietary content

11 Prohibited Activities

When using any Agrinofy platform, you agree not to:

• Violate any applicable local, national, or international law or regulation
• Use our platforms for any fraudulent, deceptive, or harmful purpose
• Post false, misleading, or defamatory content in reviews or comments
• Attempt to gain unauthorized access to our systems, servers, or databases
• Introduce viruses, malware, or any malicious code to our platforms
• Use automated bots or scripts to interact with our platforms without permission
• Engage in any activity that disrupts or interferes with our services
• Impersonate Agrinofy, its employees, or other users
• Use our platforms to spam, harass, or harm other users
• Resell our products or services without prior written authorization

12 Disclaimer of Warranties

Our platforms and services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties that our services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, completeness, or reliability of any content
• Warranties regarding agricultural outcomes, crop yields, or seed performance

Agrinofy does not warrant that our websites will be available at all times. Scheduled maintenance, technical issues, or circumstances beyond our control may cause temporary unavailability.

13 Limitation of Liability

To the fullest extent permitted by applicable law, Agrinofy Ltd., Agrinofy LLC, their directors, employees, partners, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Agricultural losses arising from seed performance, weather, or farming conditions
• Investment losses from the Musharaka Fund
• Damages arising from third-party service failures (payment processors, couriers, etc.)
• Any unauthorized access to or use of our servers or personal data stored therein

In any case where Agrinofy is found liable, our maximum aggregate liability to you shall not exceed the amount you paid to us in the 3 months preceding the claim.

14 Governing Law & Dispute Resolution

14.1 Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the People’s Republic of Bangladesh, without regard to its conflict of law principles.

14.2 Dispute Resolution

In the event of any dispute arising from or related to these Terms or your use of our services, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts of Chattogram, Bangladesh.

14.3 International Users

For users outside Bangladesh transacting through Agrinofy LLC, disputes may alternatively be subject to the laws of Wyoming, USA, at Agrinofy’s discretion. International trade disputes related to Agrinofy Exim shall be governed by applicable international trade law and mutually agreed arbitration.

15 Changes to These Terms

Agrinofy reserves the right to update or modify these Terms & Conditions at any time. When material changes are made, we will:

• Update the “Last Updated” date at the top of this page
• Notify registered users via email at least 14 days before changes take effect
• Display a prominent notice on our homepage

Your continued use of our platforms after the effective date of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services.
